CBS revolts against Redstone, sues to stop Viacom deal


CBS Corp. has sued to block a possible move by billionaire Sumner Redstone’s daughter to oust some of the network’s directors before they can consider a dividend that would lessen the Redstones’ control of the company.

CBS officials said in a lawsuit that Shari Redstone, a current director, has threatened to remove some of her colleagues to facilitate a combination between the network and National Amusements Inc., Redstone’s company that owns Viacom.

“Ms. Redstone has acted to undermine the management team, including, without board authority, talking to potential CEO replacements, deriding the chief operating officer and threatening to change the board,” CBS officials said in the suit, filed Monday in Delaware Chancery Court.

Kleenex gets down and dirty with new agency


Kleenex wants to move beyond runny noses to hands and faces, so it’s launching Wet Wipes backed by Barcelona’s Top Line Marketing and The Cyranos.

Any new shops working for Kimberly-Clark Corp. brands at this point are of interest as the company reviews its global creative account. Heading to Spain for a brand heavily steeped in Americana is an unexpected twist.

Top Line Marketing, an independent Barcelona consultancy, brought in The Cyranos, a unit of Interpublic’s McCann, for the project. The tandem previously has worked on Coca-Cola Co. brands. Also working on the Kleenex Wet Wipes rollout are WPP’s Geometry Global and Mindshare on shopper and paid media; Publicis Groupe’s Digitas and Prodigious / DPP on digital creative; and Omnicom’s Ketchum on PR.

Now that Michael Cohen’s pay-to-play scheme has been revealed, the companies that took Trump’s personal lawyer up on his offer of access to the president of the United States in exchange for large (huge!) payments are racing to do damage control. See “AT&T’s top Washington official is out over the hiring of Trump’s lawyer” (Bloomberg News via Ad Age) and “Novartis CEO: ‘We made a mistake’ with Cohen payments” (Politico) for starters. There are a lot of unanswered questions as the scandal continues to unfold, but in this segment from Thursday night’s “Daily Show,” Trevor Noah takes on the most basic question: How did various corporations get sucked into playing ball with Cohen in the first place? As Noah puts it,

I’m actually shocked that these major corporations got tricked by the classic Nigerian prince scam. Because if Michael Cohen had pitched them in an African accent, they would have seen this coming from a mile away.

5 ways GDPR will change your world


The General Data Protection Regulation, or GDPR, taking effect in the European Union on May 25 was created to protect EU citizens from potential abuses, like the recent Cambridge Analytica scandal. Though the timing may seem striking, it is coincidental: This law has been in the works for more than four years. GDPR will replace the Data Protection Directive (95/46/EC) of 1995.

Under GDPR, companies can be fined up to 4% of their worldwide annual revenue from the previous financial year. This is a staggeringly large penalty. A violation could cost Facebook, for instance, up to ~$1.6 billion. The number would be much greater for companies such as Google and Amazon.

Supreme Court ruling opens up legal sports betting


The U.S. Supreme Court struck down the federal law that bars gambling on individual sporting events in most of the country, in a ruling likely to unleash a race among the states to attract billions of dollars in legal wagers.

Ruling in a New Jersey case, the court said the 1992 law unconstitutionally forced states to maintain laws that ban gambling. Nevada is the only state where single-game wagering is now legal.

Sports gambling could begin in a matter of weeks in casinos and racetracks in New Jersey, which instigated the legal fight by repealing its gambling prohibition. Mississippi, Pennsylvania, New York, Delaware and West Virginia could follow soon, and the number of states might reach double digits by the end of the year.
